Corporate Counsel, Real Estate & Contract Services

Position Description: Provide legal analysis and counsel on matters related to and/or impacting real estate matters of the Company, including but not limited to drafting, reviewing, negotiating and terminating lease agreements, amendments, estoppels certificates and related documents. Develop and recommend Company position on various legal issues pertaining to or arising under Real Estate. Review and/or prepare a wide variety of legal documents and correspondence. Establish and maintain lease database. Draft, develop, review, negotiate, finalize and maintain all contracts entered into by the Company.

Essential Functions:

  • Research and review real estate documents/arrangements
  • Research applicable issues pertaining to contracts
  • Draft, review, negotiate all contracts
  • Maintain the master contract data base
  • Prepare, draft, edit and negotiate real estate documents, including but not limited to leases, amendments, estoppel certificates, and other landlord/tenant documents
  • Assist with landlord/tenant matters, including but not limited to dispute resolution, lease terminations, and lease extensions
  • Assist with contract disputes, terminations and/or amendments
  • Provide legal guidance to Professional's managers and supervisors regarding Real Estate and Contract matters
  • Develop and recommend Company policy and position on real estate and contract issues
  • Prepare documents, including but not limited to writing, reviewing and editing real estate and/or contract reports, correspondence, proposals, demands, agreements and other documents pertaining to real estate and contract matters
  • Maintains a working knowledge of HIPAA, OSHA, Health Law and Compliance Regulations
  • Provide legal support for special projects/implementation and other business development matters related to real estate and contracts
  • Provide legal guidance on issues arising from actual or anticipated demands, claims or lawsuits pertaining to real estate and contracts
  • Conduct and coordinate research pertaining to a variety of legal issues pertaining to real estate and contracts
  • Create "Lease Abstracts" for all Company lease agreements
  • Create and maintain lease and contract databases and prepare various real estate and contract dashboards and reports
  • Draft, negotiate and revise transactional documents
  • Conduct research and analysis regarding state and federal legal and regulatory matters that impact transactions
  • Perform other duties as assigned by the General Counsel

Qualifications:

  • Bachelor's Degree (B.A. or B.S.) and Juris Doctorate Degree (J.D.) from an accredited law school
  • Must be licensed to practice law in the state of New York; may be licensed in another state with NY "authorized in-house status"
  • At least 3 years of legal experience is required; at least two years of real estate and/or health care experience is preferred
  • Effective communication skills are required; must be accurate, concise and organized in verbal and written communications
  • Excellent problem-solving skills are required
  • Must have strong negotiation skills
  • Strong knowledge of Windows software required (i.e. Word, Excel, PowerPoint)
  • Works well under pressure in order to meet strict deadlines or respond to urgent situations
  • Accesses and enters information quickly and accurately using an automated system
